NON-CIRCUMVENTION / NON-DISCLOSURE AGREEMENT
This Non-Circumvention/Non-Disclosure Agreement is by and between Dallas Texas Economic Development Corporation, and the Client(s), and provides as follows.
In consideration of mutual benefits or possibilities of mutual benefit, all parties hereto agree as follows:
1. This is to confirm that the named signatories individually, and their associates, hereby agree that he/she or his/her corporation, division(s), subsidiaries, employees, agents or consultants, separate joint venture partners/entities, or future private or public owned entities will not, separately or individually, make any contract with, or deal with or otherwise be involved in any transaction with any company, corporation, institution or individual introduced by the other named signatories, without having obtained prior permission. This agreement is also binding on the signatories’ heirs, designees and assignees.
2. By signature and execution of this statement, each of the named signatories, separately and individually confirms that any corporation, organization, firm, company, or individual of or for which the signatory is a party, member, principal, agent, employee or otherwise, who would benefit from an association with this consideration, is bound by this agreement.
3. This agreement is a perpetuating guarantee for five (5) years from the date affixed below and is to be applied to any and all transactions entertained by the signatories with parties or entities introduced by the named signatories, including all subsequent follow-up, repeat, extended or re-negotiated transactions, as well as to the initial transaction, regardless of the nature of the project. The signatories hereby confirm that the identities of companies, corporations, institutions, buyers, sellers, or individuals, are the property of the respective named signatories, and shall remain so for the duration of this agreement.
4. Any controversy or claim arising out of or relating to this document/contract, or the breach thereof, and which is not settled between the named signatories themselves, may be litigated in any Court having jurisdiction.
5. The signatories hereby agree to keep completely confidential the names of any and all contacts, introduced respectively by the signatories, or their associates. Such identity shall remain confidential for the duration of this agreement, and shall include telephone and facsimile numbers, addresses, account numbers, etc. Such information is considered the respective property of the respective named signatories and may not be disclosed under any circumstances.
6. This Non-Circumvention/Non-Disclosure Agreement constitutes the only agreement of the named signatories, and superseded any prior understanding or written or oral agreements between the named signatories.
7. This agreement contains the entire agreement between the named signatories, and no statements, promises, or inducements made by any named signatory that is not contained in this written agreement shall be valid or binding, and this agreement may not be enlarged, modified, or altered except in writing signed by the named signatories and endorsed herein.
8. This agreement shall inure to the benefit of and be binding upon the heirs, executors, administrators, assignees, and successors of the respective named signatories.
